入学契約書

This Agreement sets out the terms and conditions governing the Student's enrolment in educational services provided by Choc Education.

By enrolling in a course, the Student (and Legal Representative where applicable) agrees to comply with this Agreement and all other applicable Choc Education policies referenced herein.

Enrolment is confirmed only after:

• Completion of the enrolment process;
• Acceptance by Choc Education;
• Payment of all required fees (unless otherwise agreed); and
• Completion of any required placement assessment.

Choc Education reserves the right to refuse or decline enrolment where considered appropriate.

The course duration and start date for a Student's enrolment shall be as confirmed in the course schedule agreed by the parties at the time of enrolment. Where a Student enrols after a course has already commenced, that Student's start date shall be the next scheduled class following completion of enrolment, and the total course hours for that Student shall be calculated as the remaining duration of the course.

Choc Education provides English language education through online educational services.

Services may include:

• Group classes;
• Individual coaching sessions;
• Placement assessments;
• Homework;
• Educational resources;
• Lesson recordings;
• Progress tracking;
• Educational analytics;
• Community events;
• Certificates; and
• Other educational services offered by Choc Education.

Course content, lesson structure, teaching methodology, and educational resources may be updated from time to time as part of Choc Education's continuous improvement process.

Choc Education delivers educational services through a combination of online systems, including:

• The Choc Education learning platform;
• Microsoft Teams;
• Official Choc Education communication channels; and
• Other educational technologies approved by Choc Education.

Collectively, these systems are referred to as the "Platform".

The Platform may provide access to:

• Live classes;
• Lesson recordings;
• Homework;
• Assessments;
• Coaching notes;
• Progress reports;
• Educational analytics;
• Certificates;
• Educational resources;
• Announcements;
• Communications; and
• Other educational materials.

Students are responsible for maintaining the security of their login credentials and shall not share their accounts with any other person.

The Student agrees to:

• Attend classes punctually;
• Participate respectfully;
• Complete homework and assigned learning activities;
• Follow teacher instructions;
• Maintain appropriate behaviour during classes;
• Respect other students;
• Use the Platform responsibly;
• Protect account credentials;
• Notify Choc Education of any changes to personal information; and
• Comply with all applicable Choc Education policies.

Students must not:

• Disrupt classes;
• Harass other participants;
• Record classes without permission;
• Share educational materials without authorization;
• Attempt to gain unauthorized access to systems;
• Misuse the Platform; or
• Engage in conduct that interferes with the learning experience of others.

Where a Student breaches the above provisions on three (3) or more occasions, Choc Education may suspend or terminate that Student's enrolment.

For Students under eighteen (18) years of age, the Legal Representative agrees to:

• Support the Student's participation in educational activities;
• Ensure the Student has suitable equipment and internet access;
• Maintain accurate contact information;
• Monitor communications where appropriate;
• Cooperate with Choc Education regarding educational or safeguarding matters; and
• Comply with this Agreement and all applicable Choc Education policies.

Legal Representatives remain responsible for decisions made on behalf of minor Students.

For Students under eighteen (18) years of age, Choc Education may provide a Legal Representative with a linked account.

The linked account may provide access to:

• Attendance records;
• Homework;
• Assessment results;
• Coaching notes;
• Teacher feedback;
• Progress reports;
• Lesson recordings;
• Certificates;
• Educational communications; and
• Other educational records maintained by Choc Education.

Legal Representatives are responsible for maintaining the confidentiality of their account credentials.

Access may be restricted where required by law, safeguarding obligations, or other legal requirements.

Official communications relating to educational services may occur through:

• Microsoft Teams;
• The Choc Education learning platform;
• Email;
• Official LINE group chats administered or monitored by Choc Education; and
• Other communication systems approved by Choc Education.

Students are responsible for regularly checking official communication channels.

For Students under eighteen (18) years of age, teachers will not communicate privately with minor Students outside approved Choc Education communication channels unless expressly authorised by Choc Education.

Legal Representatives may be included in communications where appropriate.

Students are responsible for ensuring they have suitable equipment to participate in online learning.

This includes:

• A reliable internet connection;
• A computer or other compatible device;
• A functioning webcam;
• A functioning microphone;
• Microsoft Teams (or other required software); and
• Any other software reasonably required for participation.

Choc Education is not responsible for interruptions caused by the Student's equipment, internet connection, or local technical issues.

Failure to meet the minimum technology requirements may affect the Student's learning experience but does not entitle the Student to a refund unless otherwise stated in Choc Education's Refund Policy.

The Student acknowledges that classes, coaching sessions, workshops, meetings, and other educational activities conducted by Choc Education may be recorded.

Recordings may include:

• The Student's image;
• The Student's voice;
• Shared screens;
• Educational discussions;
• Classroom participation;
• Lesson materials; and
• Other educational interactions.

Recordings may be used by Choc Education for:

• Student learning and lesson review;
• Catch-up for missed classes;
• Educational delivery;
• Teacher coaching;
• Teacher training;
• Teacher performance reviews;
• Quality assurance;
• Curriculum development;
• Safeguarding investigations;
• Complaint investigations;
• Internal educational research;
• Educational analytics;
• Platform improvement; and
• Business operations.

Where recordings are proposed to be used for marketing or promotional purposes, separate consent will be obtained where required by applicable law.

Students must not record, copy, download, distribute, publish, or share classes or recordings without the prior written consent of Choc Education.

The Student acknowledges that Choc Education may collect and analyse educational information to support learning and improve educational outcomes.

Educational analytics may include:

• Attendance;
• Homework completion;
• Assessment results;
• Lesson participation;
• Coaching outcomes;
• Platform activity;
• Progress over time;
• Learning trends; and
• Other educational performance indicators.

Educational analytics may be used to:

• Monitor learning progress;
• Personalise educational support;
• Identify areas requiring additional assistance;
• Improve teaching quality;
• Improve curriculum;
• Improve the Choc Teaching Playbook;
• Improve the Choc Education learning platform;
• Conduct educational research; and
• Improve educational outcomes.

Educational analytics will be managed in accordance with Choc Education's Privacy Policy.

Where a scheduled class is rescheduled for a reason attributable to Choc Education (such as a teacher's leave of absence or a scheduling error), and the Student is unable to attend as a result, Choc Education shall address this by one of the following:

• Arranging a make-up class;
• Providing the Student with a recording of that class for make-up purposes; or
• Refunding a proportionate amount of the fee for that class.

Course fees are those published by Choc Education at the time of enrolment unless otherwise agreed in writing.

The standard tuition fee, the semester start date, the instalment due date, the payment-in-full deadline, and the suspension date applicable to a Student’s course are set out in the Semester Schedule for the relevant semester, which forms part of this Agreement.

Unless otherwise agreed:

• Fees are payable either in full or in two equal instalments, as elected by the Student at the time of enrolment;
• Fees are payable in the currency specified by Choc Education; and
• Students are responsible for any bank charges or payment processing fees imposed by their financial institution unless otherwise stated.

Where the Student elects to pay in two instalments, the first instalment is payable at the time of enrolment, and the second instalment is payable by the due date stated in the Semester Schedule, which falls during Week 7 of the semester.

Choc Education shall issue a payment request for the second instalment to the Student’s registered email address and, where available, the Student’s registered LINE account, no later than the beginning of Week 7 of the semester.

Election to pay by instalments is a payment arrangement only. It does not divide the course into separate contracts, does not create any right to withdraw at the midpoint of the semester, and does not reduce the Student’s liability for the full course fee. The Student remains liable for the full course fee regardless of the payment option elected.

Choc Education may from time to time offer promotional, campaign, referral, or partner discounts. Where a Student is eligible for more than one such discount, those discounts shall be applied additively, and their combined total shall not exceed twenty percent (20%) of the standard tuition fee.

Where the Student pays the full amount otherwise payable, in cleared funds, before the semester start date stated in the Semester Schedule, a reduction of three percent (3%) of that amount shall apply.

The reduction under this sub-section is a payment term and is not a promotional, campaign, referral, or partner discount for the purposes of the twenty percent (20%) cap above. It shall be applied to the amount payable after any promotional and referral discounts have been applied, and shall be rounded to the nearest New Taiwan Dollar.

The reduction is not available to Students paying by instalments. It is forfeited where a Student who has elected payment in full subsequently pays by instalments, or fails to pay in cleared funds before the semester start date.

Worked example, based on a standard tuition fee of NT$39,800: where promotional and referral discounts total the maximum twenty percent (20%), the amount payable is NT$31,840. Where that amount is paid in full in cleared funds before the semester start date, a three percent (3%) reduction of NT$955 applies, and the amount payable is NT$30,885.

Failure to make payment may result in delayed enrolment or cancellation of enrolment. Where the second instalment is not paid by its due date, access to educational services may be suspended in accordance with Section 18.

The items comprising course fees (such as tuition, miscellaneous fees, materials fees, agency fees, and any other items) shall be itemised by name, amount, and method of calculation at the time of enrolment. Choc Education shall not charge for any item not so itemised.

Choc Education shall issue an official receipt to the Student for all course fees received.

Refunds shall be governed by Choc Education's Refund Policy in effect at the time of enrolment.

Students acknowledge that they have had the opportunity to review the Refund Policy before enrolling.

Approved refunds will be processed using the original payment method where reasonably practicable or by another method agreed between the parties.

All educational materials provided by Choc Education remain the intellectual property of Choc Education or its nominated affiliated entity responsible for the development, ownership, or operation of the relevant educational technology or intellectual property.

This includes, but is not limited to:

• Lesson plans;
• Presentations;
• Worksheets;
• Homework;
• Assessments;
• Videos;
• Recordings;
• Course notes;
• Educational resources;
• Platform content;
• Learning activities; and
• Other educational materials.

Students receive a limited, non-exclusive, non-transferable licence to use these materials solely for their own personal educational purposes during their enrolment.

Students must not:

• Copy;
• Reproduce;
• Distribute;
• Publish;
• Sell;
• Upload;
• Modify;
• Share with third parties; or

Commercially exploit

any educational materials without the prior written consent of Choc Education.

The Student (and Legal Representative where applicable) acknowledges that they have read and understood Choc Education's Privacy Policy.

The Student understands how personal information, educational records, lesson recordings, educational analytics, and platform data are collected, used, stored, and protected by Choc Education.

Without the Student's written consent, Choc Education shall not provide the Student's personal information to any third party or otherwise improperly use it; the legal consequences of any breach shall be determined in accordance with applicable law.

By enrolling, the Student consents to the collection, use, storage, and disclosure of personal information as described in the Privacy Policy and as otherwise permitted or required by applicable law.

The Student agrees to comply with Choc Education's Platform Terms of Use governing access to:

• The Choc Education learning platform;
• Microsoft Teams;
• Official communication systems; and
• Other educational technologies provided as part of the Student's enrolment.

Students are responsible for all activity occurring under their account and shall immediately notify Choc Education if they become aware of any unauthorised access or security concern.

Repeated breaches of the Platform Terms of Use may result in suspension or termination of access to educational services.

Choc Education is committed to providing a safe, respectful, and effective learning environment for all students.

Choc Education may suspend or terminate a Student's enrolment where reasonably necessary, including where the Student:

• Seriously or repeatedly breaches this Agreement;
• Seriously or repeatedly breaches the Platform Terms of Use;
• Engages in disruptive, abusive, threatening, discriminatory, or inappropriate behaviour;
• Harasses or intimidates other students, teachers, or staff;
• Misuses the Platform or educational resources;
• Infringes Choc Education's intellectual property rights;
• Fails to comply with safeguarding requirements;
• Provides false or misleading information;
• Fails to pay applicable course fees; or
• Engages in conduct that, in Choc Education's reasonable opinion, significantly interferes with the safety, wellbeing, or educational experience of others.

Where reasonably practicable, Choc Education will attempt to resolve concerns before suspending or terminating enrolment.

Where Choc Education suspends or terminates a Student's enrolment under this Section, it shall notify the Student and, where applicable, the Student's Legal Representative in writing within three (3) days.

Termination of enrolment does not automatically entitle the Student to a refund. Refund requests will be considered in accordance with Choc Education's Refund Policy.

Where the second instalment is not received in cleared funds by the due date stated in the Semester Schedule, Choc Education shall issue written reminders to the Student. Where the amount remains outstanding, access shall be suspended with effect from the Student’s first scheduled class in Week 11 of the semester, as stated in the Semester Schedule.

Suspension under this sub-section applies to:

• Attendance at scheduled classes;
• Individual coaching sessions;
• The Choc Education learning platform and the Student’s account;
• Microsoft Teams class access;
• Lesson recordings, assessments, progress reports, and educational analytics;
• Community events; and
• Certificates.

Suspension under this sub-section does not affect physical or digital course materials already supplied to the Student. Materials already supplied, including any third-party digital courseware access already redeemed by the Student, remain the Student’s own and shall not be withdrawn.

Suspension is a suspension of access only. The Student’s account and educational records shall be retained during the period of suspension and shall not be deleted.

Access shall be reinstated within one (1) business day of the outstanding amount being received in cleared funds in Choc Education’s designated account. Notification of a transfer, including a screenshot or remittance receipt, does not constitute receipt in cleared funds.

Classes and coaching sessions falling within the period of suspension shall not be made up, rescheduled, or refunded. Where the period of suspension has resulted in a significant difference between the Student’s progress and that of the Student’s class, Choc Education may place the Student in an alternative class section at the same level where one is available.

Suspension under this sub-section does not terminate this Agreement and does not reduce the course fee payable. The Student remains liable for the full course fee.

Students and Legal Representatives are encouraged to raise concerns as soon as reasonably practicable.

Complaints will be managed in accordance with Choc Education's Student Complaint Handling Procedure.

Where appropriate, Choc Education may investigate complaints using:

• Lesson recordings;
• Educational records;
• Platform records;
• Attendance records;
• Teacher reports;
• Student statements; and
• Other relevant information.

Students agree to cooperate reasonably with any investigation conducted by Choc Education.

Choc Education continually reviews and improves its educational services.

Accordingly, Choc Education may make reasonable changes to:

• Course content;
• Curriculum;
• Lesson structure;
• Teaching methodology;
• Teachers;
• Educational technology;
• Timetables;
• Assessment methods;
• Educational resources;
• Platform functionality; and
• Other operational aspects of its educational services.

Where a material change significantly affects an enrolled course, Choc Education will provide reasonable notice where practicable.

This Agreement should be read together with the following Choc Education documents, which are incorporated by reference where applicable:

• Semester Schedule;
• Key Enrollment Terms Summary;
• Privacy Policy;
• Platform Terms of Use;
• Refund Policy;
• Cookie Policy;
• Student Complaint Handling Procedure;
• Certificate Policy;
• Data Retention & Records Management Policy; and
• Child Protection & Safeguarding Policy (for Students under eighteen (18) years of age).

In the event of any inconsistency between this Agreement and another Choc Education policy, this Agreement shall prevail unless otherwise required by applicable law.

Where any provision of this Agreement is ambiguous, it shall be interpreted in the manner most favourable to the Student, in accordance with Article 11, Paragraph 2 of the Consumer Protection Act.

The formation, validity, interpretation, and performance of this Agreement shall be governed by the laws of the Republic of China (Taiwan).

The parties shall first attempt to resolve any dispute through good-faith discussions.

Where a dispute cannot be resolved through discussion, the parties agree that the Taiwan Taipei District Court shall be the court of first instance, provided that this shall not exclude the application of Article 47 of the Consumer Protection Act or Article 28, Paragraph 2, and Article 436-9 of the Code of Civil Procedure regarding small claims jurisdiction.

This Agreement, together with the documents expressly incorporated by reference, constitutes the entire agreement between the parties relating to the Student's enrolment and participation in Choc Education's educational services.

The parties agree that this Agreement shall be retained for a period of no less than five (5) years, consistent with the retention period required under the Tax Collection Act.

No amendment to this Agreement shall be effective unless made in writing by Choc Education or otherwise permitted by applicable law.

This Agreement has been prepared in both English and Traditional Chinese. In the event of any inconsistency or conflict between the two versions, the Traditional Chinese version shall prevail.

By signing below, the Student acknowledges that they have read, understood, and agree to be bound by this Student Enrollment Agreement & Educational Services Terms.

Where the Student is under eighteen (18) years of age, the Legal Representative also acknowledges that they have read, understood, and agree to this Agreement on behalf of the Student where legally permitted.
