The contract between you and Choc Education: what the course includes, what you owe and when, and how either side may end it.

Version
2.5
Effective
20 September 2026

This Student Enrollment Agreement & Educational Services Terms ("Agreement") is entered into between 巧克教育股份有限公司, a company registered in Taiwan, trading as "Choc Education" (referred to herein as "Choc Education", "Choc", "Company", "we", "our", or "us"), and the Student identified below ("Student", "you", or "your"). "Choc Education" is a trade name used for convenience in this Agreement and is not a separately registered legal entity; the contracting party is 巧克教育股份有限公司.

Where the Student is under eighteen (18) years of age, this Agreement shall also be entered into by the Student's Legal Representative.

The full text of this Agreement is published on Choc Education's official website at https://choceducation.com/legal, where it is available for the Student (and Legal Representative) to review at any time prior to enrollment, for a review period of no less than three (3) days.

1. PURPOSE

This Agreement sets out the terms and conditions governing the Student's enrolment in educational services provided by Choc Education.

By enrolling in a course, the Student (and Legal Representative where applicable) agrees to comply with this Agreement and all other applicable Choc Education policies referenced herein.

2. ENROLMENT

Enrolment is confirmed only after:

  • Completion of the enrolment process;
  • Acceptance by Choc Education;
  • Payment of all required fees (unless otherwise agreed); and
  • Completion of any required placement assessment.

Choc Education reserves the right to refuse or decline enrolment where considered appropriate.

The course duration and start date for a Student's enrolment shall be as confirmed in the course schedule agreed by the parties at the time of enrolment. Where a Student enrols after a course has already commenced, that Student's start date shall be the next scheduled class following completion of enrolment, and the total course hours for that Student shall be calculated as the remaining duration of the course.

3A.2 Where this Agreement and the Schedule for the Selected Course differ as to the number of live classes, duration, class length, group size, coaching sessions, materials, fees, payment terms, refund basis or the availability of the Learning Progress Guarantee, the Schedule prevails for that Selected Course.

3A.3 The Schedules for courses the Student has not selected do not form part of the Student's Agreement.

3A.4 Choc Education may publish a Schedule for a new course from time to time. A new Schedule applies only to students who select that course after the Schedule is published.

4. EDUCATIONAL PLATFORM

Choc Education delivers educational services through a combination of online systems, including:

  • The Choc Education learning platform;
  • Microsoft Teams;
  • Official Choc Education communication channels; and

This includes:

  • A reliable internet connection;

  • Any other software reasonably required for participation.

Failure to meet the minimum technology requirements may affect the Student's learning experience but does not entitle the Student to a refund unless otherwise stated in Choc Education's Refund Policy.

10. LESSON RECORDINGS

The Student acknowledges that classes, coaching sessions, workshops, meetings, and other educational activities conducted by Choc Education may be recorded.

Recordings may include:

  • The Student's image;

The Student acknowledges that Choc Education may collect and analyse educational information to support learning and improve educational outcomes.

Educational analytics may include:

  • Attendance;
  • Homework completion;
  • Assessment results;
  • Lesson participation;
  • Coaching outcomes;
  • Platform activity;

  • Learning trends; and
  • Other educational performance indicators.

Educational analytics may be used to:

  • Conduct educational research; and
  • Improve educational outcomes.

Educational analytics will be managed in accordance with Choc Education's Privacy Policy.

12. LESSON RESCHEDULING AND MAKE-UP DUE TO CHOC EDUCATION

Where a scheduled class is rescheduled for a reason attributable to Choc Education (such as a teacher's leave of absence or a scheduling error), and the Student is unable to attend as a result, Choc Education shall address this by one of the following:

  • Arranging a make-up class;
  • Providing the Student with a recording of that class for make-up purposes; or
  • Refunding a proportionate amount of the fee for that class.

13. COURSE FEES AND PAYMENT

13.1 Fees. Course fees are those displayed for the selected course at the time of enrolment unless otherwise agreed in writing. The Selected Course, standard tuition fee, course start date, payment option and published class timetable shown during enrolment, together with the Course Schedule and the Schedule for the Selected Course, form part of this Agreement. The price displayed at enrolment, after any discounts and credits, is the whole amount payable for the Selected Course and its stated inclusions (the "Amount Payable").

13.2 Payment options. The payment options for each course are stated in its Schedule. In summary:

  • Accelerated Booster Course: a single payment of the Amount Payable at enrolment. No instalment option is offered.
  • Steady Course: payment in full at enrolment, or two instalments.
  • 2026 Fall Course (Flagship), Intake 1 or Intake 2: payment in full at enrolment, or two instalments; or, for Intake 1 only and where Choc Education has offered it to the Student in writing before enrolment, four instalments. The four-instalment plan is offered at Choc Education's discretion and is not available on request.

The Student elects a payment option at enrolment. The option applied is recorded in the enrolment confirmation and may not be changed after the first payment is made.

13.3 Pay-in-full reduction. Where the Student pays the whole Amount Payable at enrolment, in cleared funds, before the course start date, a reduction of three percent (3%) applies. The reduction is a payment term and not a percentage discount: it is not counted toward the cap in Section 13.8, is applied after all other discounts and credits, and is rounded to the nearest New Taiwan Dollar. It is not available where the Student elects instalments, and it does not apply to the Accelerated Booster Course, for which a single payment is the only option. It is forfeited where a Student who has elected payment in full subsequently pays by instalments, or fails to pay in cleared funds before the course start date.

13.4 Instalment schedule. Where the Student elects instalments, each instalment is an equal share of the Amount Payable, rounded to the nearest New Taiwan Dollar, with any rounding difference applied to the first instalment. Each instalment is consideration for the block of course weeks it covers. Instalments fall due as follows. "Week" means each successive seven-day period beginning on the course start date shown in the Course Schedule; "end of Week N" means 23:59 Taipei time on the seventh day of that week.

13.5 Follow-up Week. Where an instalment is not received in cleared funds by its due date, Choc Education will issue written reminders during the week following the due date (the "Follow-up Week"). The Student's access continues during the Follow-up Week.

13.6 Suspension. Where an instalment remains unpaid at the end of the Follow-up Week, Choc Education may suspend the Student's access under Section 18 from the first scheduled class of the block that instalment covers, until all outstanding amounts are received in cleared funds.

13.7 Instalments and termination. Election to pay by instalments is a payment arrangement only. It does not divide the course into separate contracts, does not create any right to withdraw at the midpoint of the course, and does not reduce the Amount Payable. Termination of the enrolment is governed by the Refund Policy. Where the Student terminates while an instalment is outstanding, any amount owing for course weeks already delivered may be set off against any refund, as provided in the Refund Policy.

13.8 Discounts and credits. Choc Education may from time to time offer promotional, campaign, referral, partner, or student discounts. Where a Student is eligible for more than one percentage discount, those discounts shall be applied additively, and their combined total shall not exceed twenty-five percent (25%) of the standard tuition fee. Student discount codes and other promotional codes are subject to the conditions published in the Key Enrollment Terms. The terms of an individual discount may provide that it cannot be combined with specified other discounts, in which case only one of them applies.

13.9 Card payments. Where the Student pays by payment card, Choc Education will not charge that card for any later instalment unless the Student has separately and expressly authorised recurring charges at enrolment. Absent that authorisation, each instalment is paid by the Student on or before its due date.

13.10 Currency, charges, itemisation and receipts. Fees are payable in the currency specified by Choc Education. Students are responsible for any bank charges or payment processing fees imposed by their financial institution unless otherwise stated. The items comprising course fees shall be itemised by name, amount, and method of calculation at the time of enrolment, and Choc Education shall not charge for any item not so itemised. Choc Education shall issue an official receipt to the Student for all course fees received.

14. REFUNDS

Refunds shall be governed by Choc Education's Refund Policy in effect at the time of enrolment.

Students acknowledge that they have had the opportunity to review the Refund Policy before enrolling.

Approved refunds will be processed using the original payment method where reasonably practicable or by another method agreed between the parties.

14A. LEARNING PROGRESS GUARANTEE

14A.1 Application. The Learning Progress Guarantee (the "Guarantee") applies only to the 2026 Fall Course (Flagship), in each of its intakes, and to any other course whose Schedule states that the Guarantee applies. It does not apply to the Steady Course or the Accelerated Booster Course.

14A.2 Conditions. A Student may claim under the Guarantee where, in respect of the Selected Course, all of the following are met:

  • the Student attended at least eighty percent (80%) of the scheduled live classes, as recorded on the Choc Education learning platform;
  • the Student's result in the end-of-course assessment administered by Choc Education does not exceed the Student's placement assessment result for the same level framework;
  • the Student completed at least seventy-five percent (75%) of the assigned coursework, assessments and learning activities;
  • the Student attended the individual coaching sessions included in the Selected Course;
  • the Student maintained camera and microphone participation in live classes, save where excused by the teacher;
  • the Student participated actively and in good faith;
  • all course fees for the Selected Course have been paid in full, and the Student has not been suspended or terminated under Section 18; and
  • the Student submits a written claim to Choc Education within fourteen (14) days after the last scheduled live class of the Selected Course.

14A.3 Remedy. Where the conditions in Section 14A.2 are met, Choc Education shall provide one of the following, at Choc Education's election:

  • one complimentary retake of the Selected Course, at the same level, in the next available intake commencing within twelve (12) months after the last scheduled live class, subject to availability; or
  • a refund equal to twenty-five percent (25%) of Course Fees Paid, as defined in the Refund Policy, paid within fifteen (15) business days after Choc Education notifies its decision.

14A.4 Limits. One claim may be made per enrolment. A retake under Section 14A.3 is personal to the Student, has no cash value, may not be transferred or deferred beyond the twelve-month period, and does not itself carry a further Guarantee. The Guarantee does not apply where the Student has terminated the enrolment, transferred to another intake under the Key Enrollment Terms, or received a refund under the Refund Policy.

14A.5 Process. Claims are reviewed under the Refund & Guarantee Review Procedure. Choc Education will notify the Student of its decision, with reasons, within fifteen (15) business days after receiving a complete claim. Attendance and assessment records held on the Choc Education learning platform are the reference records for Section 14A.2, and the Student may request a copy for verification.

14A.6 Nature of the Guarantee. The Guarantee is a commitment to the remedies in Section 14A.3. It is not a guarantee of any examination score, proficiency level, employment, admission or other individual outcome.

15. INTELLECTUAL PROPERTY

  • Educational resources;
  • Platform content;
  • Learning activities; and
  • Other educational materials.

Students receive a limited, non-exclusive, non-transferable licence to use these materials solely for their own personal educational purposes during their enrolment.

Students must not:

  • Copy;
  • Reproduce;
  • Distribute;
  • Publish;
  • Sell;
  • Upload;
  • Modify;
  • Share with third parties; or
  • Commercially exploit

any educational materials without the prior written consent of Choc Education.

16. PRIVACY

The Student (and Legal Representative where applicable) acknowledges that they have read and understood Choc Education's Privacy Policy.

The Student understands how personal information, educational records, lesson recordings, educational analytics, and platform data are collected, used, stored, and protected by Choc Education.

Without the Student's written consent, Choc Education shall not provide the Student's personal information to any third party or otherwise improperly use it; the legal consequences of any breach shall be determined in accordance with applicable law.

By enrolling, the Student consents to the collection, use, storage, and disclosure of personal information as described in the Privacy Policy and as otherwise permitted or required by applicable law.

17. PLATFORM TERMS OF USE

The Student agrees to comply with Choc Education's Platform Terms of Use governing access to:

  • The Choc Education learning platform;
  • Microsoft Teams;
  • Official communication systems; and
  • Other educational technologies provided as part of the Student's enrolment.

Students are responsible for all activity occurring under their account and shall immediately notify Choc Education if they become aware of any unauthorised access or security concern.

Repeated breaches of the Platform Terms of Use may result in suspension or termination of access to educational services.

18. SUSPENSION OR TERMINATION OF ENROLMENT

Choc Education is committed to providing a safe, respectful, and effective learning environment for all students.

Choc Education may suspend or terminate a Student's enrolment where reasonably necessary, including where the Student:

  • Seriously or repeatedly breaches this Agreement;
  • Seriously or repeatedly breaches the Platform Terms of Use;
  • Engages in disruptive, abusive, threatening, discriminatory, or inappropriate behaviour;
  • Harasses or intimidates other students, teachers, or staff;
  • Misuses the Platform or educational resources;
  • Infringes Choc Education's intellectual property rights;
  • Fails to comply with safeguarding requirements;
  • Provides false or misleading information;
  • Fails to pay applicable course fees; or
  • Engages in conduct that, in Choc Education's reasonable opinion, significantly interferes with the safety, wellbeing, or educational experience of others.

Where reasonably practicable, Choc Education will attempt to resolve concerns before suspending or terminating enrolment.

Where Choc Education suspends or terminates a Student's enrolment under this Section, it shall notify the Student and, where applicable, the Student's Legal Representative in writing within three (3) days.

Termination of enrolment does not automatically entitle the Student to a refund. Refund requests will be considered in accordance with Choc Education's Refund Policy.

Suspension for Non-Payment of an Instalment

Where an instalment is not received in cleared funds by its due date under Section 13.4, Choc Education shall issue written reminders during the Follow-up Week under Section 13.5. Where the amount remains outstanding at the end of the Follow-up Week, access to educational services may be suspended from the first scheduled class of the block that instalment covers, until the outstanding amount is received in cleared funds.

Suspension under this sub-section applies only to services included in the selected course and may include:

  • Attendance at scheduled classes;
  • Individual coaching sessions, where included;
  • The Choc Education learning platform and the Student’s account;
  • Microsoft Teams class access;
  • Lesson recordings, assessments, progress reports, and educational analytics;
  • Community events; and
  • Certificates.

Suspension under this sub-section does not affect physical or digital course materials already supplied to the Student. Materials already supplied, including any third-party digital courseware access already redeemed by the Student, remain the Student’s own and shall not be withdrawn.

Suspension is a suspension of access only. The Student’s account and educational records shall be retained during the period of suspension and shall not be deleted.

Access shall be reinstated within one (1) business day of the outstanding amount being received in cleared funds in Choc Education’s designated account. Notification of a transfer, including a screenshot or remittance receipt, does not constitute receipt in cleared funds.

Classes and coaching sessions falling within the period of suspension shall not be made up, rescheduled, or refunded. Where the period of suspension has resulted in a significant difference between the Student’s progress and that of the Student’s class, Choc Education may place the Student in an alternative class section at the same level where one is available.

Suspension under this sub-section does not terminate this Agreement and does not reduce the course fee payable. The Student remains liable for the full course fee.

19. COMPLAINTS

Students and Legal Representatives are encouraged to raise concerns as soon as reasonably practicable.

Complaints will be managed in accordance with Choc Education's Student Complaint Handling Procedure.

Where appropriate, Choc Education may investigate complaints using:

  • Lesson recordings;
  • Educational records;
